ESOP
For many business owners, an Employee Stock Ownership Plan (ESOP) is the most attractive buyer for their company. In addition to providing a fully-valued liquidity event, ESOPs deliver compelling tax advantages to both the selling shareholder and the company.
PCE provides the following ESOP services:
- Preliminary valuation delivered by PCE's valuation services division,
- Feasibility analysis that gives a business owner a blueprint for executing an ESOP,
- Financial modeling to assist in determining the best structure,
- The preparation of a detailed corporate profile to present to prospective lenders,
- Identification of the lenders best suited to fund an ESOP transaction, and
- Negotiation and structure of the business terms of the ESOP loan.
PCE has successfully executed "dual track" liquidity engagements in which the sale to a strategic buyer and an ESOP feasibility analysis are simultaneously pursued. This process allows the business owner to evaluate and compare the most attractive after-tax alternatives at the same time. Our experience suggests that this often creates the highest after-tax proceeds of any liquidity strategy.
